Logica Holdings, Inc. (LGHL.OB) Enters into Agreement with Dolphin Digital Media LLC

Logica Holdings, Inc. (OTCBB: LGHL) recently proposed acquisition of Dolphin Digital Media LLC. If acquired, Dolphin will give Logica the opportunity and additional resources to create and manage social networking websites around Dolphin’s core brands of popular television programs for children, including Nickelodeon’s top-rated series, Zoey 101, Ned’s Declassified School Survival Guide, and the mystery movie franchise Roxy Hunter. In the beginning of the year, Dolphin Digital Media became an exclusive ten-year licensee of Dolphin Entertainment’s worldwide digital rights to their current and future properties.

When the proposed acquisition is completed, the launching of a new series of secured social networking communities for children worldwide will commence. Both companies anticipate that the combined technology of Logica and Dolphin’s brand awareness and content will create the world’s safest and possibly largest children and tween communities. Over the last few years, many front page headlines have centered on the lack of security with online social networking. Logica and Dolphin Digital hope to bring an end to potential security problems. Under the terms of the contemplated acquisition, Logica will purchase the entire issued share capital of Dolphin and the deal is expected to be valued in excess of $15 million.
